With the reduction of the state defense order, Russian enterprises of the defense industry are tasked to increase the share of high-tech civilian and dual-purpose products at the state level. At the same time the lack of experience of the military enterprises in the conditions of the market is a considerable problem for conversion transition. In this situation, careful preparation of this process is necessary. As a result of the research, external and internal factors for the success of conversion. External factors include: the existence of a state program, financial, information, organizational and regulatory support for the state. Internal factors are classified by function on groups: management, finance, personnel, technologies, production, marketing and service, logistics, interaction with the external environment. Realization of major factors will allow enterprises to effectively increase the output of high-tech non-core products.
