Institutional basics of the corporate governance model in Russia

The article deals with the institutional features of the Russian model of corporate governance formation. The core features of two basic models of corporate governance - Anglo-Saxon and Continental (German) are outlined. The preconditions and factors of the Russian model formation and the mechanism of interaction between the board of directors and executives of the company are determined. The issues of governing bodies’ authority legal regulation are considered in detail. The implementations of this model in banking sector corporations are noticed.
