A mechanism for concluding a convertible loan agreement with limited liability companies

The possibility for entering into a convertible loan agreement has been available on the Russian market since July 2021. The relevance of the topic is based on the novelty of this institute and the lack of established practice in applying the rules governing it. The subject of the study is the mechanism of concluding a convertible loan agreement with limited liability companies. The preliminary actions that the borrower must perform, substantive and additional terms of the contract, restrictions are considered. The ways of further improvement of the institute are suggested.
