The article presents a comparative analysis of the novels of the Civil Code of the Russian Federation and the regulations of corporate acts concerning the invalidation of the meeting resolution. The author considers the debatable questions on the legal nature of the meeting’s decisions, and reveals some conflicts and gaps of the effective civil law.
