The article investigates a mechanism of the uncertificated securities alienation under the contract. The author carries out an analysis of the legal rules governing the contract execution regarding the alienation of the uncertificated securities, and gives a theoretic substantiation of the transfer of rights on the uncertificated securities under the contract for uncertificated securities alienation.
