The concept of succession in the reorganization of legal entities

This article analyzes the concept and features of the succession in the reorganization of legal entities. It is stated that in the legal literature have developed two approaches to understanding the succession: transitive and intransitive rights and responsibilities. We supported the approach of the transitivity of rights and obligations as a mechanism of succession corresponds to the dynamics of legal process, allows the realization of civil rights and responsibilities, promotes civil turnover. In this set of material the author concludes that the succession of translative always has, since the successor to pass only those rights and obligations that existed at the predecessor, the new rights and responsibilities in succession does not occur. The paper states that the transfer of the rights and obligations from one person to another, including the reorganization of legal entities by changing the subject composition relationship. It is noted that any reorganization of the legal entity is accompanied by the termination, and (or) the creation of at least one legal entity. Upon termination of the reorganized entity, its place in all legal relationships in which it participates, has one or more legal entities - the successor. When you create a result of the reorganization of the new entity when the reorganized entity does not cease its activities (the allocation), part of the reorganized entity defines the legal relationship in which one or more successor replaces him. It is noted that the succession is derived from the acquisition of civil rights or civil obligations. We determined that the reorganization in the form of merger, accession, division and transformation is a universal succession, and at the reorganization in the form of separation - a singular succession.
