The paper aims to searching an appropriate perspective for theoretical analysis of the entrepreneurial university. The success of the realization of university’s third mission in particular for the entrepreneurial university depends on the question of what forms of the entrepreneurial activity the university is implementing and why. We believe that such a perspective presents itself by the academic capitalism concept and stakeholder governance concept. The first concept develops the contemporary understanding of how university, facing challenges and demands to fulfill the new third mission, adopts corporative code of management; the second one provides understanding of non-institutional dimension. It is obvious that the state itself will play the main role in the development of university’s innovation activities, but the explanation of why the exact forms of such activities have been realized, apparently calls for the analysis of how university copies the corporative code and how successfully it cooperates with the stakeholders. It also helps to answer the questions about the dynamics of cooperation of the key factors that determine the development of the entrepreneurial university (political, institutional, social etc.).
