The role of effective structure of the directors boards in corporate governance of Russian and foreign companies

One of the successes of effective company management is the presence of a strong and independent board of directors, which will help form the company's strategy, ensure control over its observance and impartially evaluate the company's performance. This article examines the role of an efficient board structure based on recommendations of the corporate governance code, compares Russian and foreign companies, and offers recommendations for improving the board structure.
