Disputes arising from foreign equity to the agreement for Russian assets: questions on collision

Authors addresses delineation of public and private law aspects in the management of the Institute of shareholders agreements, in particular the problem of subordination of shareholders agreements of the Russian legal person to a foreign rule of law and collision issue associated with the regulation of transactions made abroad by a foreign law and entailing the transfer of rights to shares Russian legal entity. Assesses the applicability of the existing norms of Russian legislation on joint stock agreements in terms of implementation of tasks that have traditionally been achieved by the participants of economic activities of their corporate relationship of subordination to foreign rule of law.
