Formation of the board of directors of modern corporation

The article reveals the importance and describes the directions for improving the process of selecting candidates for the formation of the Board of Directors. The characteristics of the requirements of the domestic regulatory environment for the formation of the composition of the boards of directors and the established practice of selecting directors are outlined; the principles for the effective formation of the board of directors that are implemented by successful European corporations are set out. In conclusion, it is pointed out that the use of the described instruments by the boards of directors in the process of formation / rotation of the composition, provides companies with competitive advantages in attracting the best candidates for the role of directors.
