Institutional basis of relations between the board of directors and management

The article deals with the institutional and national features of the relationship between the board of directors and management in corporations. A comparative analysis of key models of corporate governance on the example of the banking sector is carried out. Contradictions in the current Russian model of corporate governance related to the competencies and powers of management bodies are revealed. The results can be used in further research on this topic.
