The institution of independent directors: current state and prospects of development

Good corporate governance contributes to sustainable growth of business value. From the activity and composition of the Board of Directors of the company is corporate governance: non-executive Director, critical link management mechanism. The article presents definitions of non-executive Director and the role of the new code of corporate governance. Analysis of the structure of the Board of Directors of 50 leading Russian companies allows to understand the most in-demand knowledge and competences of non-executive Directors.
