About some theoretical and practical issues of a limited liability company’s liquidation

The presented article is devoted to the analysis of the liquidation procedure of a limited liability company. The study of problems in the legal regulation of termination of the activities of a legal entity today has practical significance. The author presents a classification of liquidation of a legal entity depending on its basis, form and purpose of implementation, analyzes the procedure for liquidating a limited liability company voluntarily and in court. The author pays special attention to the problem of terminating the activities of a legal entity in the absence of a unanimous decision of its participants. The author examines judicial practice on the issue of liquidation of a commercial organization, as a result of which he comes to the conclusion that there are gaps in the legal regulation of the liquidation of a limited liability company in court.
