The article is devoted to special of placement of shares at establishment of a joint-stock company. The author considers the procedure of placement of shares at establishment, carries out differentiation of the concepts "issue" and "placement", defines the problems at placement of shares at establishment of a joint-stock company connected with various interpretation of civil law rules and related branches of law.
