Subsidiary liability of controlling persons in the context of the principle of legal certainty

The purpose of the article is to investigate the exclusivity of subsidiary liability of controlling persons. As a result, the authors come to the conclusion that exclusivity implies the use of this institution only in the absence of alternative ways to protect the rights and legitimate interests of creditors, as well as in compliance with the rules of protection of business decisions.
