The contract has been investigated by means of which the subsidiary can be created. Author analyzes scientists' opinions about the possibility of using for this purpose different velocities civil-law contracts that are settled in the Civil Code of the Russian Federation, and offers his own version of the contract, which may be the basis of a subsidiary.
