Using the powers from the Law on Chambers of Commerce ("Sl. Glasnik RS", no. 65/01), the Assembly of the Chamber of Commerce of Serbia adopted the Code of Corporate Governance. The Code represents the need to form good business practices in the field of corporate governance that already exist in the comparative legal practice of developed countries, such as England, Germany, Austria, the Netherlands, Belgium and others. In addition to the function of regulating corporate governance, the Code should also fulfill an educational function in the field of management of capital companies. Due to the fact that the regulations (primarily the law) regulating corporate governance are more recent, the Code should represent assistance in the correct interpretation of their provisions. The Code consists of provisions that include management and supervision of management in capital companies and are divided into several chapters named: Shareholders' Assembly and shareholder rights; Steering committee; supervisory body in society reporting to the public; audit of financial statements and violations of the Code. In the future, the Code will be revised and supplemented depending on the needs of our economic and legal practice and the progress of solutions in comparative practice.
