This article examines the problem of the ratio of "guilt" and "bad faith" as conditions of civil liability of persons who are part of a legal entity, taking into account the opinions of civil scientists set out in the legal doctrine, the legislation of the Russian Federation, as well as the opinions of judges (retired) The Supreme Arbitration Court of the Russian Federation. The above concepts are considered both from the objective and subjective side.
