Theoretical basis and practical recommendations for remuneration of board members in enterprises with state participation

Theoretical aspects of remuneration of board members are analyzed. It is concluded that it is advisable to set the amount of remuneration depending on the results of the Board of Directors evaluation. It is stressed that optimal remuneration should encourage independent directors to make reasonable decisions, but not divert excessive resources from the enterprise. Methodological recommendations on remuneration payments to board members are offered. The importance of organizations developing and implementing a system of key performance indicators is stressed. Evaluation of the board of directors is recommended using quantitative and qualitative criteria, applying group and individual evaluation and self-evaluation. The presented methodological recommendations are flexible so that enterprises can easily implement them, adapting them if necessary to the specifics of the organization in which they are implemented.
