User protection against fraud and information concealment by right holder under franchise agreement

The article examines the international experience in the field of protecting the user under a franchise agreement by obliging the right holder to disclose information. The author analyzes the provisions of the Uniform Franchise Offering Circular (UFOC) provided by the US Federal Trade Commission concerning information disclosure and recommends implementing a set of terms in the Russian legislation, as these disclosure terms are not available in the domestic legal system. The study notes the need for further improvement of legislation on this issue in order to standardize the conclusion of the franchise agreement and reduce the burden on the Russian judicial system by settling disputes at the negotiation stage. The paper shows the importance of separating franchise agreement from other similar agreements and contracts.
